Terms and Conditions

Scope of Services:

• The digital marketing agency will provide services as agreed upon in the signed contract or agreement. This may include but is not limited to: search engine optimization (SEO), social media marketing, content creation, email marketing, pay-per-click (PPC) advertising, and analytics tracking.
• The agency will work diligently to achieve the client’s marketing objectives within the agreed-upon timeframe and budget.

Client Responsibilities:

• The client will provide necessary information, access to accounts, and materials required for the execution of the digital marketing services.
• The client will promptly respond to requests for feedback, approvals, and any other communication necessary for the smooth progress of the project.

Fees and Payment:

• The client agrees to pay the agency the agreed-upon fees for the digital marketing services provided.
• Payment terms, including frequency and method of payment, will be outlined in the contract.
• Late payments may incur additional charges or suspension of services until payment is received.

Intellectual Property:

• All intellectual property created during the course of the project, including but not limited to content, designs, and strategies, will belong to the client upon full payment of fees.
• The agency may retain the right to showcase the work done for the client in its portfolio or marketing materials unless otherwise specified.

Confidentiality:

• Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.
• This includes but is not limited to business strategies, customer data, and trade secrets.

Termination:

• Either party may terminate the agreement with written notice if the other party breaches its obligations and fails to remedy the breach within a reasonable time.
• In the event of termination, the client will pay for all services rendered up to the termination date.

Limitation of Liability:

• The agency will not be liable for any indirect, incidental, or consequential damages arising out of or relating to the services provided.
• The total liability of the agency, if any, shall not exceed the total fees paid by the client for the services.

Governing Law:

• This agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

Amendments:

• Any amendments or modifications to the terms of this agreement must be made in writing and signed by both parties.

Entire Agreement:

• This agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter herein.
